Your accountant
Prepares the numbers a buyer will rely on: clean accounts, management figures and evidence for add backs. They also advise on the tax side of the deal structure alongside a tax specialist.
Your solicitor
Reviews heads of terms, drafts and negotiates the sale agreement, handles warranties and indemnities, and manages completion. Choose one who has handled business sales before, not a generalist.
When to involve them
Speak to both early, ideally before you sign heads of terms. Early advice is cheap; fixing a badly drafted agreement later is not.
Keeping costs under control
Agree how fees will work up front, prepare your documents before they ask, and answer questions promptly. Most of what drives legal and accounting bills is disorganisation, not complexity.
Put it into practice
General guidance only, not legal, tax or financial advice.
