Preparing for a clean share sale

Getting the paperwork and tax questions sorted before a buyer asks.

Share sale or asset sale

In a share sale the buyer buys the company itself. In an asset sale they buy what it owns. Owners often prefer a share sale; ask your adviser which suits you.

Speak to a tax adviser early

UK reliefs such as Business Asset Disposal Relief may reduce tax on a qualifying sale. Rules and rates change, so get personal advice well before you sell.

Clean the company

Clear director loans, remove personal assets, settle old disputes and make sure filings are up to date. Each loose end becomes a question in due diligence.

Build a simple data room

Three years of accounts, management accounts, key contracts, leases, employee details and insurance, all in one folder. It saves weeks later.
